Commercial Roof Due Diligence Before Buying a BC Property

A commercial roof can represent a significant near-term obligation in a property acquisition, but the visible membrane is only one part of the decision. Buyers also need to understand the roof assembly, drainage, repair history, moisture uncertainty, rooftop alterations, warranty status, and the operational consequences of a leak.

Good roof due diligence does not try to produce a guarantee from one site visit. It builds a defensible picture from records, interviews, safe visual observations, and—where the transaction risk justifies it—additional investigation. The result should help the acquisition team distinguish conditions that may need prompt attention from work that can be planned over the next few years and longer-term capital events.

This guide is about the roof-specific investigation process. It is not legal, valuation, engineering, environmental, insurance, or investment advice. The buyer's lawyer, building-condition consultant, insurer, lender, and other qualified advisors should define their respective requirements for the transaction.

Define the Decision Before Ordering the Inspection

“Inspect the roof” is not a complete scope. The intended use of the report changes what should be reviewed, how much uncertainty is acceptable, and whether non-destructive or selective destructive investigation is appropriate.

Before the site visit, tell the roof assessor:

  • The expected hold period and planned use of the property
  • Whether the acquisition includes one building or several roof areas and additions
  • Known leaks, tenant sensitivities, high-value contents, or operations that cannot tolerate water entry
  • Planned rooftop HVAC, solar, mechanical, tenant-improvement, or amenity work
  • The decision the report must support, such as immediate repair planning, a replacement allowance, or a deeper moisture investigation
  • Transaction deadlines, access restrictions, and permissions for testing
  • Which parties are intended to rely on the report

The current ASTM E2018-24 guide for baseline property condition assessments describes a voluntary baseline process with a moderate level of uncertainty. It also explains that the appropriate assessment level depends on the user's objectives, the property, risk tolerance, time, and available information. A baseline property condition assessment can therefore be useful, but a buyer should not assume that its standard walk-through automatically answers every roof-specific question.

Request the Roof File Before the Site Visit

Documents can reveal changes and recurring conditions that are not visible on a dry inspection day. Request the available roof file early enough that the assessor can use it to plan the visit rather than receiving it after the report is written.

Design and construction records

  • Original and subsequent roof plans, specifications, and detail drawings
  • Roof-area names, construction dates, and records for additions or phased replacements
  • Approved submittals and product information for the installed assembly
  • Consultant field-review reports, deficiency lists, test reports, and closeout records
  • As-built drawings showing drains, overflows, curbs, penetrations, equipment, and interfaces
  • Permits, design letters, or other approvals relevant to later roof alterations, where applicable

Warranty and guarantee records

  • Manufacturer, contractor, material, and third-party guarantee certificates
  • The exact roof areas and components covered
  • Start and expiry dates, claim procedures, exclusions, maintenance conditions, and transfer provisions
  • Required inspection or performance-review reports
  • Correspondence about claims, repairs, alterations, or changes in building use
  • Evidence that any transfer or assignment required for the pending sale has been started or completed

Do not treat the word “warranty” as proof that coverage will continue after closing. Terms differ by issuer and executed document. For example, Sika Canada's published sample commercial roofing warranty says transfer requires advance written approval and may involve processing, inspection, and repair costs. The RCABC roof-maintenance guide similarly cautions that its guarantee is not transferable without written consent. These are examples, not universal rules; review the actual documents and obtain written confirmation from the issuer.

Operations, maintenance, and repair history

  • Inspection and preventive-maintenance reports, including photographs
  • Leak incident logs, tenant reports, emergency calls, and interior repair records
  • Repair proposals, work orders, invoices, completion photos, and follow-up observations
  • Drain and overflow cleaning records
  • Records of storm, impact, fire, construction, or equipment-related damage
  • Roof-access logs and reports of damage caused by other trades
  • Records for new curbs, vents, conduits, antennas, fall-protection equipment, solar equipment, and other alterations
  • Current open deficiencies and planned capital work

RCABC's current roof-maintenance guidance recommends retaining roof plans, as-built details, installation inspection reports, manufacturer information, guarantees, subsequent inspection reports, prior problem-and-repair records, and notices concerning changes to the roof. That list is a useful starting point for a transaction request.

Missing records do not automatically mean the roof is defective. They do create uncertainty. The report should state what was requested, what was received, what could not be verified, and what additional work could reduce the remaining uncertainty.

Build a Roof-Area History, Not One Building-Wide Age

Commercial properties often contain several different roof populations. An original building, later addition, loading canopy, mechanical penthouse, podium, and localized replacement may each have a different assembly and history.

For each roof area, try to establish:

  • Approximate installation or replacement date and the evidence supporting it
  • Membrane, insulation, cover board, vapour-control layer, and deck information, where documented
  • Drainage type and discharge arrangement
  • Installer, consultant, manufacturer, and guarantee or warranty issuer
  • Known repairs, moisture findings, and recurring leak locations
  • Later penetrations, equipment changes, traffic routes, and overburden
  • Access limitations and concealed areas

When dates or assemblies conflict, record the conflict instead of selecting the most convenient answer. A repair invoice may describe only a local patch, while an owner summary may call the same work a “new roof.” A site assessor can compare the records with visible materials and details, but concealed layers usually cannot be confirmed visually.

What a Roof-Focused Visual Review Can Establish

A roof-focused visual review should examine accessible exterior and interior conditions, document the limits of access, and relate observations to specific roof areas. Depending on the building and safe access, the review may include:

  • General membrane or surfacing condition
  • Seams, laps, flashings, edges, copings, curbs, penetrations, and transitions
  • Drains, scuppers, overflows, strainers, debris, and visible ponding patterns
  • Patches, coatings, temporary repairs, and areas of repeated work
  • Physical damage, displaced components, open terminations, or exposed materials
  • Rooftop equipment, supports, service traffic, and later alterations
  • Interior staining, damaged finishes, corrosion, odours, or other moisture indicators in accessible areas
  • The relationship between interior symptoms and possible roof, wall, plumbing, HVAC, or condensation pathways

A visual review can identify observable defects and help target further investigation. It generally cannot confirm every concealed layer, map all wet insulation, determine the source of every stain, prove code compliance, or predict exactly when a roof will fail.

Weather and access also matter. A dry inspection may show staining but no active entry. Ballast, pavers, vegetation, solar arrays, equipment, ceilings, and tenant restrictions can conceal conditions. Report these limitations plainly.

Roof access must be planned as work at height, not treated as an informal buyer walk-through. WorkSafeBC states that fall protection is required where a worker could fall 3 metres or more, or from a lesser height where serious injury could result. The employer and assessment team should determine the site-specific access, training, supervision, equipment, and procedures. Buyers and unqualified representatives should not enter restricted roof areas to “take a quick look.”

When Additional Moisture Investigation May Be Worthwhile

Additional investigation may be appropriate when visual observations and records leave a decision-critical question unresolved. Common triggers include recurring leaks, suspected widespread moisture, incomplete replacement records, insulated low-slope assemblies, a planned recover or replacement, or a consequence of failure that is unusually high.

The method should fit the roof assembly and the question:

  • Infrared imaging looks for surface-temperature patterns that may correspond with moisture-affected insulation under suitable roof and weather conditions. ASTM's current infrared roof-moisture practice says the method locates potential wet insulation; it does not determine the cause or point of entry and calls for invasive verification of infrared data.
  • Electrical impedance scanning compares readings to identify potential concealed moisture in compatible assemblies. The current ASTM D7954/D7954M practice lists significant material limitations and also calls for verification with core samples.
  • Other survey methods may be considered by a qualified investigator where the assembly and project conditions suit them. The report should explain the method, calibration or baseline approach, coverage, limitations, anomalies, and verification work rather than presenting a coloured scan as a diagnosis.
  • Selective openings or core cuts can confirm the assembly and local conditions at specific points. They are destructive, sample only small locations, require owner authorization, and need compatible permanent repair. Their locations should be chosen to answer defined questions and documented on the roof plan.

No single method answers everything. A scan anomaly is not automatically a leak source, and a dry core at one location does not prove the whole roof is dry. The investigation should connect each test to the acquisition decision and clearly separate observed facts, interpretations, and unresolved uncertainty.

Convert Findings Into Transaction-Useful Risk Categories

The roof report should do more than list defects. It should organize findings by timing, consequence, confidence, and the next action needed. A practical framework is:

Planning category Typical purpose Useful report output
Immediate or closing-critical Active leakage, unsafe access, open details, blocked drainage, temporary conditions, or another issue that may need prompt control or specialist review Location, evidence, consequence, interim precautions where appropriate, recommended responsible discipline, and scope needed for a current quote
Near term: approximately 1–3 years Repairs, further investigation, drainage work, detail renewal, or a defined roof area that may require capital planning Priority, dependencies, planning assumptions, uncertainty, and what would change the timing
Longer term Maintenance, monitoring, design work, or eventual restoration or replacement planning Condition-based planning range, recommended review points, and records to preserve
Unresolved Missing records, inaccessible areas, contradictory evidence, or suspected concealed conditions Why the question matters, the limits of the current review, and an option for reducing uncertainty

These categories are planning tools, not promises that a component will perform until a particular year. Timing can change with weather, drainage, use, maintenance, alterations, concealed conditions, and new evidence.

If the report includes cost opinions, it should state the assumed scope, basis date, exclusions, level of accuracy, and whether design, access, testing, taxes, hazardous-material work, temporary protection, and related enclosure repairs are included. Firm pricing normally requires a defined scope and current contractor quotations. The acquisition team should decide with its advisors how findings affect the offer, conditions, holdbacks, representations, insurance, financing, or closing documents; the roofing report should not make those legal or valuation decisions.

Questions a Buyer Should Be Able to Answer

By the end of roof due diligence, the acquisition team should be able to answer:

  • How many distinct roof areas and assemblies are present?
  • What is known—and not known—about their installation dates and concealed construction?
  • Are there active leaks, temporary repairs, drainage concerns, or safety-related access limitations?
  • Does the repair history suggest isolated events or repeating patterns?
  • What rooftop changes have occurred since installation, and were roofing and warranty requirements addressed?
  • Which warranties or guarantees may remain, what areas do they cover, and what written steps are required for transfer?
  • Is additional moisture investigation or selective opening justified before the decision deadline?
  • What work may need prompt attention, what belongs in the first 1–3 years, and what is a longer-term capital consideration?
  • Which conclusions are well supported, and which remain uncertain because of access, records, weather, or sampling limits?
  • Who should address each next step: roofer, roof consultant, engineer, building-envelope consultant, mechanical contractor, warranty issuer, lawyer, insurer, or another qualified party?

A Practical Pre-Purchase Roof Checklist

Use this on-page checklist to organize the roof workstream:

  1. Define the transaction decision, report users, risk tolerance, deadline, and testing permissions.
  2. Request roof plans, specifications, warranties, inspection reports, repairs, maintenance records, leak history, and alteration documents.
  3. Create a separate history for each roof area rather than relying on one building-wide age.
  4. Have the assessor review documents before the site visit and identify gaps that affect the field scope.
  5. Arrange safe access to relevant roof areas and accessible interior locations.
  6. Record observable conditions, repair patterns, drainage, equipment, interfaces, and access limitations on a roof plan.
  7. Match any moisture survey or selective opening to a defined question and compatible assembly.
  8. Verify scan anomalies where appropriate and document the limitations of every method used.
  9. Confirm warranty or guarantee status and transfer requirements in writing with each issuer.
  10. Classify findings as immediate, near-term, longer-term, or unresolved, with evidence and recommended next actions.
  11. Obtain defined scopes and current quotations where the transaction requires pricing confidence.
  12. Have the appropriate legal, financial, insurance, design, and building professionals address matters outside the roofing assessor's role.

Make Uncertainty Visible Before Closing

The most useful due-diligence report is not the one that sounds most certain. It is the one that clearly connects records, observations, testing, limitations, and next steps to the buyer's decision.

A roof with older materials but strong records, controlled details, and a clear maintenance history may present a different planning problem from a newer roof with recurring leaks, undocumented alterations, or unknown concealed conditions. Age alone does not resolve that distinction.
